Plural Digital Agency - Terms and Conditions

These Terms & Conditions ("Terms") govern your use of services provided by Plural Digital Agency and its affiliated brands: Village Square TV, Village Square TV Podcast, Village Square Kids Podcast, Event Bridge TV, and Entrepreneurs of Canada Podcast. By accessing our websites, booking services, renting studio space, using memberships, or purchasing content, you agree to these Terms.

1. DEFINITIONS & SCOPE

  • "Client": You or your authorized representative.
  • "Services": Photography, videography, livestreaming, content creation, podcast production, LED displays, 360° photobooth, content publishing, studio rental, and memberships.
  • "Studio Rental": Use of our physical studio facilities and equipment per calendar availability.
  • "Memberships": Monthly access plans to studio space and optional equipment/tech support.
  • Entire agreement clause applies; prior communications override only if written.

2. BOOKINGS, MEMBERSHIPS & PAYMENTS

Bookings & Payments

  • Orders are confirmed upon deposit or full payment.
  • Deposits are non-refundable unless agreed in writing.
  • Final payment is due before service delivery or studio use.
  • Late payments incur 1.5% per month interest; returned payments incur $50 fee.

Membership Plans

  • Membership hours scheduled based on studio calendar availability.
  • Unused hours do not roll over; overages billed at standard hourly rates.
  • Memberships auto-renew monthly; cancellation requires 30 days' notice.

3. CANCELLATIONS & RESCHEDULING

  • Cancellations ≥14 days before event/studio date may get partial refund.
  • Cancellations <14 days before date are non-refundable.
  • Studio rental reschedules allowed up to 72 hours in advance; otherwise, full fee applies.
  • Rescheduling for force majeure events (e.g., weather, illness) is allowed at our discretion.

4. STUDIO RENTAL – USE & RESPONSIBILITIES

  • Rentals are on a calendar-availability basis; confirmed only after booking.
  • Clients must start and end precisely on booked times—overtime billed per hour.
  • Clients assume responsibility for the studio and any guests.
  • Cleaning fees apply for unacceptable conditions; full liability for damage.
  • Liability insurance covering use and guests is required.
  • Prohibited activities: alcohol, open flames, smoking, vaping, pets (without approval), and hazardous/stated-unprofessional use.
  • Violations may result in termination without refund.

5. SERVICES – SCOPE & DELIVERY

  • Services are delivered per project brief or booking.
  • Standard media delivery window is 14 business days, subject to change depending on project complexity, scope changes, or unforeseen challenges. In such cases, Clients will be notified promptly.
  • Includes one revision round; additional edits subject to fees.
  • Subcontractors or third-party providers may be used.
  • While we aim to capture or produce required content, specific results or shots cannot be guaranteed.

6. CLIENT RESPONSIBILITIES

  • Provide accurate details for events, venues, permissions, and schedules.
  • Ensure all necessary permissions/releases for locations and talent.
  • Comply with studio rules and capacity limits.
  • Confirm media usage rights do not infringe third-party intellectual property.

7. INTELLECTUAL PROPERTY & USAGE

  • Creative work ownership retained by Plural Digital Agency and affiliates until full payment.
  • Upon payment, Clients receive a non-exclusive license for personal or business use.
  • Commercial resale, sublicensing, broadcasting, or derivative work requires written agreement.

8. USE OF MEDIA FOR MARKETING

Unless declined in writing, we may use delivered media across our brands/platforms (including Village Square TV, Podcasts, Event Bridge TV, Entrepreneurs of Canada Podcast) for marketing.

9. LIMITATION OF LIABILITY

  • Liability capped at total amount paid for the service.
  • No liability for indirect, incidental, consequential, or punitive damages.
  • Excludes liability for delays or damage due to equipment failure, weather, force majeure, or other uncontrollable events.

10. INDEMNIFICATION

Clients indemnify Plural Digital Agency and all brand affiliates, employees, and contractors from claims, damages, liabilities, or expenses arising from:

  • Client's breach of Terms;
  • Negligence or misconduct;
  • Unauthorized media use;
  • Actions by Client or their guests.

11. PRIVACY & PERSONAL INFORMATION (PIPEDA)

  • Collect only information necessary for service delivery.
  • Compliance with PIPEDA.
  • Data used for services and marketing (with consent), stored securely, not shared without permission, except when required by law.
  • Clients may request access/correction and can file PIPEDA complaints.

12. GOVERNING LAW & DISPUTE RESOLUTION

  • Governed by Ontario (Province) and Canadian federal laws.
  • Disputes resolved exclusively in the courts of Kitchener, Ontario.

13. FORCE MAJEURE

No liability for failures or delays due to events beyond control (natural disasters, pandemics, labor disputes, etc.).

14. TERMINATION

We may suspend/terminate services or studio access for contractual breaches, illegal or unsafe behavior—without refund (except services/time already fulfilled).

15. GENERAL PROVISIONS

  • Invalidity of any provision does not affect others.
  • A waiver does not waive other rights.
  • These Terms bind successors and assigns.
